1. Acceptance

By accessing or using TradeShield ("Service") you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a legally binding agreement between you ("User") and TradeShield.

2. What TradeShield Is — and Is Not

TradeShield is a technical connection-monitoring and trade-safety layer. It measures internet latency, server health, and exchange API reachability, then gates trade submissions through our interface based on those conditions.

TradeShield is not:

  • A cryptocurrency exchange, broker-dealer, or trading platform
  • A custodian, wallet provider, or money transmitter
  • A virtual asset service provider (VASP) under MiCA or equivalent regulation
  • A registered investment adviser or financial planner
  • An AML/KYC-regulated entity
  • A smart contract auditor or DeFi protocol

We never hold, transfer, or have access to any user funds, private keys, or exchange credentials.

3. Eligibility

You may use TradeShield only if you:

  • Are at least 18 years of age (or the legal age of majority in your jurisdiction)
  • Are legally permitted to trade cryptocurrency and digital assets in your jurisdiction
  • Are not subject to sanctions or located in a jurisdiction where our Service is prohibited
  • Are not acting on behalf of a sanctioned party or entity

By using the Service you represent and warrant that all of the above are true.

4. No Financial, Investment, or Legal Advice

Nothing in TradeShield — including Shield Status, risk scores, latency metrics, signals, event logs, or any AI-generated commentary — constitutes investment advice, a trading recommendation, a solicitation, or an offer to buy or sell any financial instrument or digital asset. All information is provided for informational and technical purposes only. You must consult qualified, regulated financial and legal advisers before making trading decisions.

5. Cryptocurrency-Specific Provisions

  • Irreversibility. You acknowledge that cryptocurrency transactions confirmed on a blockchain are generally irreversible. TradeShield cannot reverse, cancel, or recover any trade that has been submitted to an exchange or broadcast to a blockchain network.
  • No custody. TradeShield never holds, controls, or has access to any digital asset, private key, seed phrase, or exchange API credential. You retain full custody and responsibility for your assets at all times.
  • Exchange independence. TradeShield's assessment of exchange reachability is based on public API ping checks. It does not reflect exchange solvency, security, withdrawal availability, or regulatory standing. Use of any exchange is at your own risk and subject to that exchange's terms.
  • DeFi and smart contract risk. If you use TradeShield alongside decentralised protocols, you accept all risks associated with smart contracts including bugs, exploits, rug pulls, and protocol governance changes. TradeShield has no involvement in or control over any smart contract.
  • Leverage and liquidation. If you engage in leveraged or margin trading, your positions may be automatically liquidated by the exchange during periods of high volatility or connectivity issues. TradeShield's Shield Warning does not prevent liquidation and may not reflect the full speed at which market conditions change.
  • Copy-trade amplification. Enabling copy-trade mode propagates your trade intent to followers. If you override a Shield Warning, that override applies to all mirrored trades. You accept full responsibility for the impact on all follower accounts.
  • Regulatory compliance. You are solely responsible for complying with all applicable cryptocurrency laws, tax reporting obligations, KYC/AML requirements, and securities regulations in your jurisdiction. TradeShield does not provide compliance services.
  • Sanctions compliance. You may not use TradeShield if you are located in, incorporated in, or a national of any country subject to comprehensive economic sanctions (including, without limitation, Cuba, Iran, North Korea, Russia, Syria, and the Crimea, Donetsk, and Luhansk regions).

6. Override Shield

By clicking "Override Shield" you explicitly acknowledge the identified technical risk and accept full and sole financial responsibility for any resulting trade outcome, including but not limited to partial fills, failed orders, slippage, and financial loss. TradeShield is released from all liability for losses arising from overrides.

6A. Automated Trading Bots — Sole Responsibility & Liability Limit

Read this section carefully if you enable any TradeShield Bot, recurring order, auto-protect action, or other automated trading feature. By enabling any such feature you agree to every clause below.
  • You are the trader. Every order placed by a TradeShield Bot, scheduler, auto-protect rule, or other automation is placed at your direction, on your exchange account, using your API credentials, against the parameters (instrument, size, interval, stop-loss, take-profit, daily caps, asset class, plan tier) you configured. TradeShield acts solely as a software tool that submits the orders you have pre-authorised. We do not exercise discretion over your account and we are not your agent, broker, fiduciary, portfolio manager, or investment adviser.
  • No performance representation or guarantee. We make no representation, warranty, or guarantee — express or implied — that any bot, strategy, signal, default parameter, or template will be profitable, will outperform any benchmark, will avoid losses, will execute at any particular price, will fill at all, will respect any stop-loss within any time bound, or will behave in any specific way under live market conditions. Past performance, backtests, simulations, paper-trading results, and example screenshots are not indicative of future results.
  • Bot underperformance, drawdowns, and total loss are your risk. You acknowledge that automated trading can and does lose money — including, in adverse conditions, the entire balance allocated to the strategy, plus borrowed funds in margin or leverage accounts. You accept full and sole financial responsibility for every fill, partial fill, missed fill, slippage event, fee, funding-rate charge, liquidation, drawdown, opportunity cost, and tax consequence resulting from any TradeShield-initiated order.
  • Failure modes you accept. Without limiting the generality of the above, you specifically accept the risk of: scheduler downtime, missed cycles, duplicate orders, stuck orders, orders sent during a flash crash or low-liquidity window, exchange rate-limit rejections, exchange outages, exchange-side cancels, API key revocation, clock skew, time-zone misconfiguration, network partition, third-party data-feed errors (price, circuit-breaker, market-hours, news), bugs in TradeShield code, bugs in any exchange adapter, bugs in any third-party library, server-side rate limiting on stop-loss enforcement, and any combination of the foregoing. TradeShield is not liable for any loss arising from any such event.
  • Safety features are best-effort. Stop-loss, take-profit, daily caps, market-hours gating, circuit breakers, options-block-trade gating, plan-tier sizing limits, kill switches, and Shield Status are technical safeguards implemented on a best-effort basis. They may fail, lag, be bypassed by exchange conditions, or be misconfigured by the user. They are not a substitute for exchange-native risk controls and you must maintain independent stop-losses, position limits, and the ability to disable your API keys at the exchange.
  • You will monitor and can stop at any time. You agree to actively monitor every bot you run and to immediately pause, disable, or revoke its API key the moment you no longer wish it to trade. Continuing to run a bot after observing unexpected behaviour is your decision and your liability.
  • Hold-harmless for automation losses. To the maximum extent permitted by applicable law, you irrevocably release, waive, and discharge TradeShield, its affiliates, officers, directors, employees, contractors, and agents from any and all claims, demands, damages, losses, costs, fees, and expenses of every kind — known or unknown, direct or indirect — arising out of or relating to any order, fill, missed fill, drawdown, liquidation, or other outcome produced by any TradeShield Bot, scheduler, auto-protect action, recurring order, or other automated feature. The aggregate liability cap in Section 11 applies to this section in full.

7. Acceptable Use

You may not use TradeShield to:

  • Engage in market manipulation, wash trading, spoofing, or layering
  • Circumvent exchange terms of service, AML/KYC controls, or regulatory requirements
  • Reverse-engineer, scrape, or stress-test our APIs without written permission
  • Resell, sublicense, or white-label the Service without an enterprise agreement
  • Transmit malware, conduct attacks, or exploit vulnerabilities
  • Violate any applicable law, regulation, or third-party rights

8. Service Availability

We target high availability but provide no uptime SLA on free or beta tiers. Never treat TradeShield as your only risk management mechanism.Maintain independent exchange-native stop-losses, position limits, and circuit breakers at all times.

9. Intellectual Property

All TradeShield software, UI, trademarks, and documentation are proprietary to TradeShield or its licensors. No licence to reproduce or distribute is granted by these Terms.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF SHIELD STATUS DATA, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADESHIELD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES, LOST PROFITS, LIQUIDATION LOSSES, OR LOSS OF DIGITAL ASSETS, ARISING FROM USE OF OR INABILITY TO USE THE SERVICE — EVEN IF TRADESHIELD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless TradeShield and its officers, directors, employees, and agents from any claim, damage, fine, or expense (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your trading activity; or (d) your violation of any applicable law or third-party rights.

13. Termination

We may suspend or terminate your access immediately if you breach these Terms or if required by law. Sections 4, 5, 10, 11, 12, and 14 survive termination.

14. Binding Arbitration; Class Action Waiver; Jury Trial Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH TRADESHIELD ON AN INDIVIDUAL BASIS THROUGH FINAL AND BINDING ARBITRATION, AND IT LIMITS THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.
  • Informal resolution. Before filing any claim, you and TradeShield agree to first try in good faith to resolve any dispute by sending a written notice describing the dispute to support@tradeshieldlabs.com and allowing 30 days for resolution.
  • Binding arbitration. Except for the carve-outs below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including their breach, termination, enforcement, interpretation, or validity — shall be resolved by final and binding individual arbitration administered by JAMS under its then-current Streamlined Arbitration Rules and Procedures (or, where the parties mutually agree, by the AAA under its Consumer Arbitration Rules). The arbitration shall be conducted in English by a single arbitrator. The seat of arbitration shall be the State of Wyoming, United States, and may be conducted by video conference. Judgment on the award may be entered in any court of competent jurisdiction.
  • Class action waiver. YOU AND TRADESHIELD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
  • Jury trial waiver. To the maximum extent permitted by law, you and TradeShield each waive any right to a jury trial in any proceeding arising out of or related to these Terms or the Service.
  • Carve-outs. Notwithstanding the above, either party may (i) bring an individual action in small-claims court for disputes within that court's jurisdiction; (ii) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property or confidentiality rights; and (iii) opt out of arbitration by sending written notice to support@tradeshieldlabs.com within 30 days of first accepting these Terms.
  • Mandatory law. Nothing in this Section limits any non-waivable rights you have under the mandatory laws of your jurisdiction (including, where applicable, EU consumer protection law).
  • Governing law. These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions in this Section.
  • Severability. If the class-action waiver is held unenforceable, then the entirety of this Section 14 shall be null and void, but the remainder of these Terms shall remain in full force and effect.

15. Changes to Terms

We may update these Terms at any time. Material changes will be communicated in-app and by email (if registered) with at least 14 days' notice. Continued use after the effective date constitutes acceptance.

16. Contact

Refunds are governed by the Refund Policy. Subscriptions are non-refundable except a verified duplicate (double) charge requested within 60 days of the charge and refunded to the original payment method.
